We reserve the right to decline projects that do not align with our standard of "Decisive Simplicity."

2. Financial Terms

Unless otherwise specified in writing, all projects require a non-refundable deposit prior to the commencement of work to secure your position in our studio queue. Final deliverables, website launches, and transfer of ownership rights will only occur upon receipt of the final invoice balance. Late payments may incur a standard holding fee or suspension of digital services.

3. Intellectual Property Rights

Upon full and final payment, you are granted full ownership rights to the final deliverables as outlined in your SOW. Simplicity Design Agency retains all rights to underlying methodologies, draft concepts, and unused assets created during the development process. We reserve the right to display all completed projects within our portfolio, website, and marketing materials as examples of our architectural standards.

4. Client Responsibilities

Excellence requires momentum. You agree to provide timely feedback, necessary brand assets, and approvals within the timeframes established in our project schedules. Delays in client communication exceeding 14 business days may result in the project being placed on hold and subject to a reactivation fee.

5. Warranties & Limitation of Liability

We engineer our digital products to the highest industry standards. However, our services and website are provided on an "as is" and "as available" basis. Simplicity Design Agency makes no guarantees regarding continuous, uninterrupted access to digital properties or specific financial outcomes resulting from our marketing strategies. In no event shall our total liability to you for any claims arising out of the engagement exceed the total fees paid by you for the specific service in question.

6. Governing Law

These terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia. Any disputes arising from these terms or our services shall be subject to the exclusive jurisdiction of the courts located in Alexandria, Virginia.
